Alberta And B.C. Securities Regulators Seek Comment On London Stock Exchange-TMX Merger
The Alberta Securities Commission (ASC) and British Columbia Securities Commission (BCSC) have received amendment applications from the TSX Venture Inc. (TSXV) and TSX Inc. (TSX) to address changes resulting from the proposed merger of the London Stock Exchange Group plc (LSEG) and TMX Group Inc. (TMX). To assist in the joint review and consideration of the applications, the ASC and BCSC are seeking comment from market participants in the venture market.

April 2011 FIF Market Share And Market Dynamics Reports – Executive Summary
U.S. Equities Market Share
- Share volumes traded across Tape A, B, and C decreased 22% monthly to 141 billion shares
- Share volumes in NYSE-listed securities decreased 21% monthly and 32% annually to 80 billion shares.
- NASDAQ-listed securities traded over exchange decreased 17% monthly and 24% annually to 39 billion shares.
- In April 2011, off-exchange trading accounted for 33% of the shares traded in NMS Equity Securities.

Proposed transaction between TMX Group and London Stock Exchange Group PLC - Application Filed And AMF Public Consultations Launched
The Autorité des marchés financiers (“AMF”) today launched consultations pertaining to the announcement made on February 9, 2011 that TMX Group Inc. (“TMX Group”) and London Stock Exchange Group PLC (“LSEG”) had reached an agreement to combine their respective exchange groups as part of an all-share transaction.

TMX Group Inc. And TSX Inc. - Proposed Transaction With London Stock Exchange Group Plc - Notice And Request For Comment
1. INTRODUCTION
On February 9, 2011, TMX Group Inc. (TMX Group) and London Stock Exchange Group plc (LSEG) announced an agreement to combine their respective exchange groups (Proposed Transaction). TMX Group and its subsidiary TSX Inc. (TSX) are each recognized as an exchange by the Ontario Securities Commission (OSC or Commission).
In connection with the Proposed Transaction, TMX Group, TSX, and LSEG have applied (the Application) to the Commission for the following:
(i) an order of the Commission approving the beneficial ownership by LSEG of all the common shares of TMX Group; and
(ii) an amended and restated recognition order for TMX Group and TSX.
Staff of the Commission (Staff or we) are publishing this notice (Notice), together with the Application, to request public comment on the Application. The Notice is being published for a 45-day comment period and includes:
• Background on the Commission's regulation of stock exchanges
• Background information on TMX Group, TSX and the Proposed Transaction
• A discussion of key issues relating to the Application
• Information on the Commission's public consultation to be held to discuss the Application, and
• Information on how commenters may submit written comments.
